Rushton, Stakely, Johnston & Garrett has represented a significant number of clients in merger, acquisition, and business disposition transactions. In addition to handling the purchase and sale of privately-held companies, the Firm’s lawyers are skilled in representing publicly-held companies in acquisitions by using equity securities and cash or debt instruments. Many of these transactions involve securities law considerations (e.g., registration or structured exempt transactions), complex tax questions, antitrust implications, and acquisition finance planning and implementation.

The Firm’s merger and acquisition attorneys possess substantial experience and expertise in discerning and planning for the solution of complex acquisition and sale issues and in negotiating, drafting, and implementing merger agreements, purchase and sale agreements, and ancillary documents. The Firm also acts as local counsel for national clients in transactions having Alabama law implications and advises upon and offers solutions for issues arising from the application of Alabama tax, securities, corporate, and other unique state law implications.
